1. Scope of Work

3. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with this Agreement. This obligation survives termination.

4. Intellectual Property

All deliverables produced under this Agreement become the property of the Client upon final payment. The Provider retains the right to display non-confidential work in portfolios and case studies unless otherwise agreed in writing.

5. Termination

Either party may terminate this Agreement upon 30 days' written notice. The Client remains obligated to pay for all work delivered up to the termination date.

6. KPI Disclaimer

Search engine rankings and organic traffic are influenced by factors outside the Provider's control, including search engine algorithm updates and competitor activity. The Provider does not guarantee specific ranking positions or traffic numbers.

7. Account Access

Client provides read/write access to Google Analytics, Google Search Console, and the website CMS as needed for SEO implementation. Access continues for the duration of this Agreement.

8. Minimum Term & Cancellation

6-month minimum engagement. After the minimum term, this Agreement continues month-to-month and may be cancelled by either party with 30 days' written notice.

How to write an SEO contract

Define the service scope by category and deliverable count
Don't write "SEO services." Write what's included by category: "Technical SEO audit + monthly fixes; 4 long-form articles per month; 10 high-quality backlinks per month; monthly reporting." Each category has measurable monthly deliverables — that's what the client is paying for.

State the minimum engagement term
6 months minimum is the SEO industry standard — SEO results take 4-6 months to materialize. Clients who cancel after 90 days haven't seen results because results aren't possible yet. A minimum term protects the agency from clients who cancel before the work compounds.

Add the ranking-disclaimer clause
Critical: "Search engine rankings are influenced by factors outside the Provider's control, including algorithm updates, competitor activity, and changes to indexed content. The Provider does not guarantee specific ranking positions or traffic numbers." Without this clause, a disappointed client can sue for failure to deliver on perceived promises.

Specify the account access required
"Client provides read/write access to Google Analytics 4, Google Search Console, the website CMS, and (if doing paid + organic) Google Ads. Access continues for the duration of this Agreement." SEO work without access is impossible; making access explicit prevents week-2 onboarding friction.

Define content ownership
"All content created by Provider for Client (articles, meta descriptions, on-page copy) becomes the Client's property upon publication. Provider may reference completed work in case studies subject to Client approval." Clients sometimes assume they own everything; agencies sometimes assume they keep portfolio rights. Be explicit.

Set monthly reporting cadence
"Monthly report delivered by the 5th business day of each month covering: technical SEO changes, content shipped, links earned, organic traffic, keyword rankings, conversion metrics. Quarterly strategy review (60-minute call)." Cadence matters; clients who don't see reports churn.

Specify cancellation and notice period
"After the [6-month] minimum term, this Agreement continues month-to-month and may be cancelled by either party with 30 days' written notice." Clear cancellation terms protect both sides; vague language ("either party may cancel at any time") undermines the minimum-term commitment.

Common SEO contract mistakes

No ranking disclaimer. Disappointed clients sue for "failure to deliver promised rankings." Disclaimer language stops the lawsuit at the contract.
No minimum term. SEO takes 4-6 months to show results; clients without minimum-term commitments cancel at month 3 expecting refunds for work that hadn't finished compounding.
Vague scope ("SEO services"). Clients later argue specific work was promised; you can't prove what was sold without category + count.
Skipping account access requirements. Onboarding stalls at week 2 because the client can't figure out how to grant Google Analytics access.
No content ownership clause. Clients assume they own everything (including your custom Looker Studio dashboards); agencies don't know whether portfolio use is allowed.
